Name:
The name of the Association will be The Bushwood Area Residents Association. |
| |
Objects:
The objects of the Association will be: |
- To encourage a community spirit.
- To protect the general welfare, amenities and environmental and communal rights of all members.
- The Association shall form no political nor religious affiliations and shall practice no distinctions of race, colour or other irrelevant factor.

| The Bushwood Area shall be defined as that area bounded by Bush Road, Bushwood, thence by Mornington Road, to Lister Road, and the east side of Leytonstone High Road north of Davies Lane to the junction with Bush Road. |

Membership:
Full membership shall be given to all residents of the Area who pay the annual subscription. |
| Associate membership shall be available on payment of the relevant subscription to: |
- All previous members of the Association who no longer live in the Area.
- All persons who trade from business premises in the Area.

| Associate members will not be eligible to vote at the Annual General Meeting nor may they serve on the Executive Committee. |

Subscriptions:
The subscription year will be from one annual general meeting to the next.
The rates of annual subscriptions shall be £1 for an individual member and £2 for a household.
These rates may not be altered without the agreement of an annual general meeting.
Any new member who joins on or after 30 June in any subscription year shall have membership until the close of the next successive year.
The terms of membership for Associate Members will be fixed by the committee. |

Management:
The Association shall be managed by an Executive Committee which shall be elected at an annual general meeting.
The executive committee will consist of the Chairperson, Secretary, Treasurer, Vice-chairperson and other officers and members but not exceeding twenty four in total.
Meetings of the committee will be conducted in accordance with the rules drawn up by the committee and revised by them when necessary.
A quorum of the executive committee will consist of no less than five elected members.
The committee may co-opt members by a simple majority of those present at a quorate meeting provided that the maximum number of committee members is not exceeded.
Any committee member who is absent from three consecutive committee meetings and who on each occasion has not communicated to send apologies for absence shall be automatically deemed to have resigned from the committee. |

General:
Only the Chairperson or Committee member appointed by the Chairperson will be empowered to speak on behalf of the Association to the press or other media.
Any committee member holding office will be required to have a telephone.
Voting at committee meetings will be by a show of hands and resolutions will be passed by a simple majority. |

Annual General Meeting:
An annual general meeting will be held no later than 30th September each year for the purposes of receiving an annual report of the committee, the accounts of the Association, election of committee members and any other business for which due notice has been given.
All committee members will resign at the annual general meeting but may offer themselves for re-election.
The quorum of an annual general meeting will be twice the number of outgoing committee members plus two.
Any proposed amendments to the constitution must be received in writing at least fourteen days before an annual general meeting and will be accepted if approved by at least two thirds of those members present at such meeting.
Serving committee members will continue to serve on the committee for twenty eight days after the election of a new committee.
Voting will be by a show of hands. |

| Finance: |
- All monies received by or on behalf of the Association will be applied to further the objects of the Association and for no other purpose.
- The treasurer will keep proper records and accounts of the Association and will operate bank account(s) in the name of the Association.
- The accounts will be audited once a year by a qualified auditor or by another who is not a member of the committee and is approved by the annual general meeting.
- The financial year will end on 31 July each year.
- All accounts and books of the Association will be available for inspection to any member on reasonable notice to the treasurer.
- The bank account(s) will have as signatories, four committee members designated by the committee with any two to sign.

Cessation of the Association:
Should the committee feel that it is desirable to amalgamate with a nearby similarly minded organisation, it will call an extraordinary general meeting or present the proposal to an annual general meeting to either of which at least fourteen days notice has been given.
Should the committee decide to dissolve the Association it will invite all members to attend an annual or extraordinary general meeting with at least fourteen days notice.
It will then make all reasonable attempts to pay outstanding accounts payable after which any moneys still held by the Association will be donated to charity. |
